End User License Agreement

1. Acceptance of these terms

By creating an account or otherwise using the Platform, you agree to this End User License Agreement. If you are using the Platform on behalf of an organization, you are agreeing on behalf of that organization as well as yourself, and you confirm you have the authority to do so.

2. License grant

Penny Zenker International grants you a personal, non-exclusive, non-transferable, revocable license to access and use the Platform for your own leadership development, subject to this agreement and, where applicable, the access tier or organization license associated with your account. This license does not transfer any ownership of the Platform or its content to you.

3. Ownership of content and IP

The Reset Mindset framework, Reset Readiness assessment and skill content, videos, coaching prompts, and all associated intellectual property are owned by Penny Zenker International. Nothing in this agreement transfers ownership of that content to you or your organization. Your own reflections and inputs remain yours, subject to the license you grant us below to operate the Platform.

By submitting a reflection, message to the AI coach, or other content, you grant Penny Zenker International a license to store and process that content solely to provide and improve the Platform, as described in our Privacy Policy.

4. Acceptable use

You agree not to:

• Share your login credentials with anyone else, or use another person's account.
• Copy, scrape, reverse engineer, or extract the Platform's skill content, assessment logic, or underlying code.
• Resell, sublicense, or otherwise make the Platform available to a third party outside your own organization's licensed use.
• Use the Platform to submit unlawful, abusive, or harmful content, or to attempt to disrupt or gain unauthorized access to the Platform's systems.

5. Accounts and access tiers

The Platform is offered on free, Academy, and Mastery access tiers, each with different features and durations, as described at the point of signup or purchase. We may change tier features or pricing going forward; changes will not reduce the term of access you've already purchased.

6. Organization-licensed access

Where an employer or event sponsor has licensed access to the Platform for a group, that organization may set the duration and scope of access for its participants, and may receive consolidated, de-identified reporting as described in our Privacy Policy. The organization does not receive your individual login credentials, assessment results, reflections, or AI coach conversations.

8. Limitation of liability

To the fullest extent permitted by law, Penny Zenker International will not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform. Our total liability for any claim relating to the Platform will not exceed the amount you paid, if any, for access in the twelve months before the claim arose.

9. Termination

You may stop using the Platform at any time. We may suspend or terminate your access if you violate this agreement, or if your access tier or organization license expires. Sections of this agreement that by their nature should survive termination, including ownership and limitation of liability, will continue to apply.

10. Governing law

This agreement is governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law principles.

11. Changes to these terms

We may update this agreement from time to time. If we make a material change, we will update the effective date above and, where appropriate, notify you directly. Continued use of the Platform after a change takes effect means you accept the updated terms.
